1. Who we are
Elendil Studio (“we”, “us”, “our”) is a UK-based web design studio. These terms apply to your use of our website and to any services you commission from us. For how we handle personal data, see our Privacy Policy.
2. Using this website
You may browse this website for personal or business information about our services. You must not misuse the site (for example by attempting to gain unauthorised access, introducing malware, or scraping content at scale). Content on this site is provided for general information and does not form a binding offer unless we agree otherwise in writing.
3. Quotes and proposals
Any quote or proposal we provide is an invitation to treat, not a binding offer, until both parties accept it in writing (including email). Quotes are typically valid for 30 days unless stated otherwise. Scope, timelines, and fees are as set out in the accepted proposal or statement of work.
4. Services and deliverables
We will deliver the services described in the agreed proposal with reasonable care and skill. You are responsible for providing timely feedback, content, access, and approvals. Delays in client input may extend timelines. Ownership of the finished website or agreed deliverables transfers to you once all invoices for that work are paid in full, unless we agree otherwise in writing.
5. Fees and payment
Fees are as set out in the proposal. Unless otherwise agreed, payment is due within 14 days of invoice. We may pause or withhold delivery if invoices are overdue. Prices are in GBP and exclusive of VAT where VAT applies, unless stated otherwise.
6. Third-party services
Projects may involve third-party tools, hosting, domains, plugins, or platforms. Their terms apply separately. We are not liable for outages, price changes, or policy changes by third parties outside our control.
7. Intellectual property
Until full payment, we retain intellectual property in work product we create. After payment, you own the agreed deliverables for your use. We may showcase completed work in our portfolio and marketing unless you ask us in writing not to. Pre-existing tools, frameworks, libraries, and our general know-how remain ours.
8. Limitation of liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law. Subject to that, our total liability arising from any project is limited to the fees you paid us for that project. We are not liable for indirect or consequential loss, loss of profit, or loss of data, except where the law does not allow that exclusion.
9. Cancellation
Either party may cancel a project in writing. Work completed up to the cancellation date is chargeable. Deposits are non-refundable unless we agree otherwise. Ongoing services (for example monthly SEO) may be cancelled with the notice period set out in the proposal, typically 30 days.
10. Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that consumers may also bring claims in their local courts where the law requires.
